The following terms and conditions govern all use of the Vitribyte website and all content, services and products available at or through the website, including, but not limited to, Vitribyte Insight (taken together, the Website or the Service). This is a Service provided by Vitribyte based in Mountain View, California. Vitribyte will be hereafter referred to as “Vitribyte”, “we”, “us”. The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Vitribyte’s Privacy Policy) and procedures that may be published from time to time on this Site by Vitribyte (collectively, the “Agreement”).

Please read this Agreement carefully before accessing or using the Website. By accessing or using any part of the website, you agree to the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by Vitribyte, acceptance is expressly limited to these terms. If you’re using our Services for an organization, you’re agreeing to these Terms on behalf of that organization.

Our Services are not intended for and may not be used by people under the age of 13. By using our Services, you are representing to us that you’re over 13.

Your Vitribyte Account

You are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must immediately notify Vitribyte of any unauthorized uses of your account or any other breaches of security. Vitribyte will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions.

Your login may only be used by one person – a single login shared by multiple people is not permitted. Accounts registered by “bots” or other automated methods are not permitted.

You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws).

Free Trial

One person or legal entity may not maintain more than one Free Trial account. You may only use the Free Trial offer once.

Responsibility of Website Visitors

Vitribyte has not reviewed, and cannot review, all of the topics, excerpts and other media collected from Wikipedia, and cannot therefore be responsible for that material’s content, use or effects. By operating the Website, Vitribyte does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Vitribyte disclaims any responsibility for any harm resulting from the use by visitors of the Website, or from any downloading by those visitors of content there posted.

Acceptable Use Policy

You agree not to misuse the service offered by Vitribyte (“Services”) or help anyone else to do so. For example, you agree not to do any of the following in connection with the Services:

access, search, or create accounts for the Services by any means other than our publicly supported interfaces (for example, “scraping” or creating accounts in bulk);
probe, scan, or test the vulnerability of any system or network;
breach or otherwise circumvent any security or authentication measures;

send altered, deceptive or false source-identifying information, including “spoofing” or “phishing”;
abuse the trial program or promotions;
sell the Services unless specifically authorized to do so;
violate the privacy or infringe the rights of others.

Intellectual Property

This Agreement does not transfer from Vitribyte to you any Vitribyte or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with Vitribyte. Data, charts, graphics, logos and computation results in Vitribyte Insight are not to be reproduced without prior permission from Vitribyte. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third parties. You agree not to reproduce, duplicate, copy, sell, resell or exploit copyrighted portions of the Service, use of the Service, or access to the Service without the express written permission by Vitribyte.

Text excerpts and thumbnail images are used under CC BY-SA. Sources of the same are indicated under respective content.

Payment and Renewal

We use various billing service providers. When using such provider’s services, you agree to follow and comply with the policies of such provider.

Services from Vitribyte may be purchased on a periodic subscription basis under which payment is prepaid. The Subscription Service will be automatically renewed and your credit card (or other payment method account) will be charged every month without further authorization from you. All fees are paid in advance and are not refundable. You are responsible for paying any applicable fees and applicable taxes associated with the Service in a timely manner with a valid payment method. Unless otherwise stated, all fees are quoted in U.S. Dollars (USD). You agree to pay for all services that you purchase through the Service, and we may charge your selected payment method or send you an invoice for any such fees owed.

You are required to keep your billing information current, complete, and accurate (e.g., a change in billing address, credit card number, or expiration date) and to notify Vitribyte if your selected payment method is cancelled (e.g., for loss or theft). You are responsible for all charges incurred under your Account. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms. Your Account may be deactivated without notice to you if payment is past due. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for paying any taxes imposed on your purchase from or use of the Service, including, but not limited to, sales, use, or value-added taxes.

Vitribyte may offer different service levels at various monthly rates. Should you upgrade or downgrade your service level, the price of the chosen service level will be charged in subsequent monthly periods. You are solely responsible for properly canceling your account. You can cancel your account at any time by contacting Vitribyte by e-mail at insight@vitribyte.com. Your request must be received at least 24 hours prior to your subscription renewal date, or the cancellation will not be effective until the following month.

Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time via email to the email address associated with your account. Vitribyte shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

Termination

You are free to stop using our Services at any time. We also reserve the right to suspend or end the Services at any time at our discretion and without notice. For example, we may suspend or terminate your use of the Services if you’re not complying with these Terms, or use the Services in a manner that would cause us legal liability, disrupt the Services or disrupt others’ use of the Services. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Services “AS IS”

We strive to provide great Services, but there are certain things that we can’t guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, VITRIBYTE AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED “AS IS.” WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

NEITHER VITRIBYTE NOR ITS SUPPLIERS AND LICENSORS, MAKES ANY WARRANTY THAT THE WEBSITE WILL BE ERROR FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED. YOU UNDERSTAND THAT YOU DOWNLOAD FROM, OR OTHERWISE OBTAIN CONTENT OR SERVICES THROUGH, THE WEBSITE AT YOUR OWN DISCRETION AND RISK.

While we strive to provide the latest data and trends, we make no warranty about the timeliness or accuracy of the same. For example, in the event of an outage of the raw data from wikipedia, we might not be able to compute the latest statistics/trends.

Vitribyte reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. Vitribyte does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.

Limitation of Liability

IN NO EVENT WILL VITRIBYTE, OR ITS SUPPLIERS OR LICENSORS, BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR: (I) ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES; (II) THE COST OF PROCUREMENT FOR SUBSTITUTE PRODUCTS OR SERVICES; (III) FOR INTERRUPTION OF USE OR LOSS OR CORRUPTION OF DATA; OR (IV) FOR ANY AMOUNTS THAT EXCEED THE FEES PAID BY YOU TO VITRIBYTE UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION. VITRIBYTE SHALL HAVE NO LIABILITY FOR ANY FAILURE OR DELAY DUE TO MATTERS BEYOND THEIR REASONABLE CONTROL. THE FOREGOING SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

Controlling Law

The laws of California, U.S.A., excluding California’s conflict of laws rules, will apply to any disputes arising out of or relating to these terms or the Services. All claims arising out of or relating to these terms or the Services will be litigated exclusively in the federal or state courts of Santa Clara County, California, USA, and you and Vitribyte consent to personal jurisdiction in those courts.

Waiver, Severability & Assignment

Failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. Vitribyte may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.

Indemnification

You agree to indemnify and hold harmless Vitribyte, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website, including but not limited to your violation of this Agreement.

Modifications

We may revise these Terms from time to time, and will always post the most current version on our website. If a revision meaningfully reduces your rights, we will notify you (by, for example, sending a message to the email address associated with your account, posting on our blog or on this page). By continuing to use or access the Services after the revisions come into effect, you agree to be bound by the revised Terms.
